Terms of Service

Last updated October 18, 2026

Please read these terms carefully. They include automatic renewal of paid plans (section 3), limits on our liability (section 20), and an agreement that disputes go to the courts of Davidson County, Tennessee, on an individual basis and without a jury (section 23).

What changed on October 18, 2026. We added terms for HTML capture, collections, version history, guide pages, knowledge kits and uploaded files, AI features and AI credits, voiceovers and AI voices, personalization and personalized links, and AI assistants connected through MCP or access tokens, and we updated what happens when a workspace changes plan. For accounts opened before October 18, 2026, this version takes effect on November 18, 2026; until then the version of October 17, 2026 applies, except that sections 7, 8, 9, 10 and 11 apply to those features as soon as you use them. For accounts opened on or after October 18, 2026, it applies right away.

1. The agreement

These Terms of Service (“Terms”) are an agreement between you and Simplisik LLC, a Tennessee limited liability company (“Simplisik”, “we”, “us”), for AtriumKit: the AtriumKit Chrome extension, dashboard, hosted demos, embeds, collection pages, guide pages, knowledge kits, AI features, voiceovers, MCP server, website and related services (the “Services”). They take effect when you create an account, start a subscription or otherwise use the Services. They apply only to AtriumKit; Simplisik’s other products have their own terms.

  • AtriumKit is a business tool. You must be at least 18 and use the Services for your business or profession, not for personal, family or household purposes.
  • If you use the Services for a company or other organization, you agree to these Terms on its behalf and confirm that you have authority to do so. “You” then means that organization.
  • Our Privacy Policy explains how we handle personal information. If we sign a separate written agreement with you, such as a data processing agreement, it takes precedence over these Terms where they conflict.

2. Accounts and workspaces

  • Give accurate account information and keep it up to date.
  • Keep your password, the devices where you use the extension and your access tokens secure, and tell us promptly at support@atriumkit.com if you think someone has accessed your account without permission.
  • You can belong to several workspaces. Each workspace belongs to the organization that set it up. Workspace admins control its members, roles, billing, integrations and content, and can delete it. Members act on the workspace’s behalf, with the access their role (admin, editor or viewer) gives them.
  • You are responsible for all activity in your account and workspace, including by people you invite and by the extension, integrations, access tokens and AI assistants you connect.

3. Plans, trials and billing

Plans and seats

  • The Free plan is free and includes up to 3 published demos and one creator seat. Our pricing page shows each plan’s current features and limits, including its AI credits, its AI voice allowance and how long it keeps version history.
  • “Unlimited” on our pricing page means the plan sets no fixed number for that item. The file-size, request and rate limits the Services enforce, and section 14, still apply.
  • Paid plans are billed per creator seat, monthly or annually in advance, in US dollars, through our payment processor, Stripe. Admins and editors use creator seats, and so do pending invitations to those roles. Viewer seats are free.
  • If you add seats or change plans during a billing period, the change is prorated as shown before you confirm it. You authorize us, through Stripe, to charge your payment method for all fees when they are due.

Free trials

Paid plans can start with a 14-day free trial, once per workspace. You need a payment method to start a trial. Unless you cancel before the trial ends, your subscription starts automatically and your payment method is charged for the plan, billing period and seats you chose. If you cancel during the trial, you will not be charged. During a trial, AI voices are limited to 10,000 characters a month (section 10).

Automatic renewal and cancellation

  • Paid plans renew automatically at the end of each billing period, for the same period, at the then-current price per creator seat plus any applicable tax, until you cancel.
  • You can cancel at any time from Billing in the dashboard. Cancellation takes effect at the end of the current billing period, and you keep paid features until then.
  • If we change the price of your plan, we will tell you at least 30 days before the change applies to you. The new price applies from your next renewal after that notice, and you can cancel before then.
  • Promotional codes and discounts apply only as described when you redeem them.

Taxes

Prices do not include taxes. You are responsible for sales, use, value-added and similar taxes on your purchases, other than taxes on our income, and we may collect them where the law requires.

No refunds

Fees are non-refundable, and we do not give refunds or credits for partial billing periods, unused seats, unused features, unused AI credits or unused AI voice characters, except where the law requires it or as section 17 and section 24 provide.

Failed payments and downgrades

  • If a payment fails, we and Stripe may retry it. If it is not resolved, we may limit paid features, suspend the subscription or move the workspace to the Free plan.
  • When a workspace moves to a plan with fewer features, such as the Free plan, its published demos stay live, but you cannot publish new demos beyond the new plan’s limits.
  • Features the new plan does not include stop working. On the Free plan, email gates turn off, so gated demos become viewable without an email address. Lead forms and integrations stop, AtriumKit branding returns, custom themes and brand kits no longer apply, collection pages stop being available, viewers see only each demo’s own language instead of its translations, narration stops playing, presenter mode stops, and the internal knowledge base closes. Personalized text shows its defaults and fallbacks, and personalized links open the demo without personalization. Knowledge files you already uploaded stay, but you cannot add more beyond the new plan’s limits. Change the access setting of any gated demo before you downgrade if that matters to you.
  • Version history gets shorter. Each plan keeps a demo’s earlier versions for a set number of days (currently 7 days on Free, 90 on Pro and 365 on Team). After a downgrade, versions older than the new plan allows are deleted within about an hour. Named versions are kept beyond that only on Pro and Team; on the Free plan they are deleted once they are older than 7 days. The version that is live is always kept.

4. Your content

  • Your recordings (screenshots and HTML captures of pages), demos, guides, collection pages, copy, logos, fonts and images you upload, knowledge kits and the files you upload to them, narration scripts, voice recordings and audio you upload, personalization values, the instructions you give our AI features, the AI suggestions and AI narration you keep, and other content you put in the Services are “Your Content”. As between you and us, you own Your Content. Pages you capture can include material that belongs to others, such as another company’s text, logos, images or fonts; these Terms do not change who owns that material.
  • You give us a worldwide, non-exclusive, royalty-free license to host, copy, process, adapt (for example, to render edits, blurs, HTML captures, guides, translations, personalized text, captions and thumbnails, to transcribe recordings and to extract the text of files), display and transmit Your Content only as needed to provide, secure and support the Services. That includes showing your published demos, guides and collections to the people you share them with and wherever you embed them, sending Your Content to the providers that run our AI, voice and transcription features when you use them (sections 9 and 10), and sending it where you direct, such as to integrations and AI assistants you connect.
  • The license ends when you delete the content, except for copies in backups, caches and logs, which expire as described in our Privacy Policy; earlier versions in a demo’s version history, until they expire or you delete the demo; and copies that viewers or other people have already saved, or that you sent to services you connected.
  • You confirm that you have the rights you need to give us this license, including for third-party material in pages you capture and for personal information in Your Content, and that Your Content and our use of it as these Terms allow will not violate the law or anyone’s rights.
  • No AI training. We do not use Your Content to train AI models, and the providers that run our AI, voice and transcription features are not allowed to use it to train theirs.
  • Unpublished content stays private. Drafts, recordings, unedited captures, knowledge kits and files, analytics and leads are visible only to your workspace’s members, according to their role, and to the services you connect. Our people do not look at them except to help you when you ask, to keep the Services secure, to investigate abuse or a report, or when the law requires it.
  • We may use aggregated or de-identified information about how the Services are used, which does not identify you or include Your Content, to operate and improve them.

5. Recording responsibly

  • Record only products, pages and data you have the right to capture and share. Recording someone else’s product or website may be restricted by its terms, and recording other people’s personal or confidential information, including your own customers’, may require their permission or your agreement with them.
  • Unless you choose “Screenshots only”, the extension also saves a copy of each page you record, with its text, styles, images and fonts (an “HTML capture”), so the demo shows the real page. An HTML capture contains the whole page as your browser had it, including parts you had not scrolled to. When you publish, viewers’ browsers receive that page, including parts they do not see on screen.
  • Captured pages can include other companies’ logos, images, fonts and text. Publishing them may need their owner’s permission, for example under a font’s license or a website’s terms.
  • Auto-blur and “Blur area” are applied on your device before anything is uploaded: in screenshots the area is pixelated, and in HTML captures its text is replaced and its images are removed. They cannot catch everything. The page text, link addresses, page titles and what you type into ordinary fields are also kept, without blurring, in your workspace (they are not published) so you can edit them. Review every step, including the whole of each HTML capture, and blur or hide anything sensitive before you publish. You are responsible for what your demos show.
  • Use test accounts and sample data where you can.

6. Publishing, embeds, collections and leads

  • Published demos, their guide pages and collection pages are available according to their access setting. Public ones can be indexed by search engines. Unlisted ones can be opened by anyone with the link. Email gates ask for an email address but do not verify who the viewer is; a collection’s email gate unlocks every demo in it. None of these settings is suitable for confidential information. Published narration, images and pages can be downloaded by anyone who can view them.
  • Embeds always show the latest published version of a demo or collection, wherever you have placed them.
  • A collection page’s title, description, sections, links, button and forms are Your Content, and the same rules apply to them as to demos. A demo you lock in a collection asks for an email before it plays there, but a public demo stays reachable at its own link; make it unlisted if it should be seen only through the collection. Leads from a collection page include which of its demos the viewer watched and how far they got, and that goes to your integrations with the lead.
  • The player records viewers’ activity for your analytics: views, the steps and screens they see, their clicks, the choices they pick in demos that branch, how much narration they hear and whether they turn sound or captions on, whether they finish, their language, which personalized link they opened (section 8), and views and exports of guide pages. It keeps a random visitor identifier in the viewer’s browser.
  • If your demos collect leads, or you use analytics, personalized links or integrations to follow what identified people do in your demos, you are responsible for giving them any notice the law requires (including a link to your privacy policy), having a lawful basis and any consent you need (including any consent the law requires on your own website for the player’s visitor identifier), using their information lawfully, honoring their requests and securing any webhook endpoint or other system you send it to.
  • If you view a demo someone else made, that company, not us, is responsible for its content and decides how the details you submit are used. You may not misuse the player or the demo, as described in section 14.

7. Guides, knowledge kits and files

  • Guide pages. Every published demo can also be read as a step-by-step guide on its own page, with a text version and a print or PDF option. A guide page is built from the published demo and follows its access setting, email gate, unpublishing and takedowns; public guides can be indexed by search engines. Guide pages are on by default; you can turn a demo’s guide page off in its share settings. Guide text and pictures are Your Content, and the same rules apply to them as to demos.
  • Knowledge kits and files. A knowledge kit tells our AI features about your product: a summary, audience, voice, glossary, links and notes, plus files you upload, such as sales decks, price sheets and documents. Kits and files are not published. Every member of your workspace, viewers included, can read them, and on plans that include it they appear in your workspace’s internal knowledge base.
  • Upload only files you have the right to use this way and that every member of your workspace may see. You are responsible for their content, including confidential business information such as pricing, and any personal information in them. Do not upload sensitive personal information.
  • We extract the text of uploaded files with our hosting provider’s conversion service. When you use AI features, we send your kit’s text and the passages of your files that best match the request to our AI providers (section 9), with email addresses, phone numbers and long numbers masked; prices and other short numbers are sent as they are. AI assistants you connect can search your kits and files (section 11).

8. Personalization and personalized links

On paid plans, personalization fills a demo’s text with a viewer’s details, such as their name, company or job title. The details can come from the demo’s link, the website that embeds it, a lead form the viewer fills in, a presenter filling them in for a call, or a personalized link you create.

  • Details that come from the link’s address, the embedding website or a presenter stay in the viewer’s browser: we do not save them with your demo or in analytics, and we never send them to AI or voice providers. Like any web address, though, a link with personal details in it can end up in the logs of email tools, browsers, websites and our hosting provider, so we recommend personalized links instead. Lead form answers are kept as leads (section 6).
  • A personalized link stores the details you enter or import for one person, such as their name, company, job title and email address, in your workspace, where every member can see them, and records when it is opened, how far the viewer gets and any lead they leave. Your chat tools and webhooks can be told when someone opens their link, and alerts and leads that come through a link carry its details to your integrations. Anyone who has a personalized link sees the details in it, so share it only with the person it is for. Deleting a link erases its details from your workspace; copies already sent to your integrations stay there.
  • You decide whom to personalize for and track. The people you create personalized links for, and viewers whose details you pass to a demo, are identified individuals. You are responsible for having a lawful basis to use their details this way, giving them any notice the law requires (for example, in your privacy policy or in the email that carries the link) and honoring their requests, including deleting their link or details when they ask.
  • Do not put sensitive information in personalization values or personalized links, such as health, financial account, government ID, precise location or biometric information, information about children, or anything you are not allowed to use for sales and marketing.
  • Do not use personalization to deceive people, for example to make a demo look as if it comes from, or is endorsed by, the viewer’s company or anyone else, or to show one person information about another.
  • Anyone can add details to your demo’s link or embed it with their own, so a viewer may see text that someone else supplied. Write copy that reads sensibly with any value, and do not put variables where a made-up value could mislead, such as next to instructions to pay or sign in.

9. AI features and AI credits

Our AI features (such as “Write with AI”, “Rewrite”, AI translations, guide copy, narration scripts and knowledge kit drafts) write and translate text for your demos, guides and knowledge kits. To do that, we send the providers listed in our Privacy Policy your demo’s text, your instructions, the readable text and labels on its screens, and your knowledge kit with the best-matching passages of its files (section 7). We leave out what is blurred, redacted or hidden, mask email addresses, phone numbers and long numbers, and never send leads or viewers’ personalization values.

  • Check what the AI writes. AI suggestions can be wrong or incomplete, can describe your product inaccurately, and can resemble text written for others. They are suggestions: nothing changes until you apply them. Review them before you publish. You are responsible for the demos you publish, including text an AI feature wrote.
  • Who owns it. As between you and us, suggestions you apply are Your Content. We do not promise that they are unique or that anyone has intellectual property rights in them.
  • AI credits. AI features use AI credits. Each workspace gets the credits its plan includes for each calendar month (UTC), as shown on our pricing page and in the dashboard. Unused credits do not carry over to the next month. Credits have no cash value: they cannot be bought, sold, transferred or exchanged for money, and we do not refund them, including when you downgrade or cancel. A request that fails does not use credits.
  • Availability. AI features rely on third-party providers and can be slow, limited or unavailable. We limit how many AI requests each person can make, and AI features are off for demos we have taken down.
  • Use. When you use AI features, follow section 14 and the usage policies of the providers that run them (for OpenAI, its Usage Policies). Do not use them to create unlawful, deceptive or harmful content, or try to make them do anything other than write and translate your content.

10. Voiceovers and AI voices

On the Pro and Team plans, a demo can be narrated: each step or screen can have a script and a voice clip, with captions. A clip can be made by an AI voice from the script, recorded with your microphone, or uploaded. On the Free plan, viewers do not hear narration.

  • What we send. For an AI voice clip, we send the script, a little of the neighboring steps’ scripts for context, and the voice and its settings to the voice provider listed in our Privacy Policy. Variables in a script are spoken with their defaults and fallbacks, never with a viewer’s values. Recordings and uploaded audio are sent to our transcription provider to make the script and captions.
  • Your scripts and recordings. You are responsible for the scripts and audio you use. Record or upload only audio you have the right to use and publish, with the permission of everyone whose voice is in it, and do not upload recordings of calls or meetings without the consent of everyone in them. Transcripts and captions are made automatically and can be wrong; review them before you publish.
  • No impersonation or cloning. AI voices are synthetic. Do not use voiceovers to imitate a real person’s voice, to make it seem that a real person said something they did not, or to create a copy of anyone’s voice. We do not offer voice cloning. Where the law requires you to tell listeners that a voice is AI-generated, you are responsible for doing so. When you use AI voices, also follow our voice provider’s usage policy (for ElevenLabs, its Prohibited Use Policy).
  • AI voice allowance. AI voices are available while a workspace has an active paid subscription, and during a free trial up to 10,000 characters a month. They are not available while a payment is past due or after cancellation; recording and uploading still work. Each month (UTC) a workspace with an active subscription gets its plan’s AI voice characters per creator seat, as shown on our pricing page. A clip uses the characters our voice provider charges for it, including the context from the previous step; remaking a clip from unchanged text is free, and a request that fails uses nothing. Unused characters do not carry over. They have no cash value: they cannot be bought, sold, transferred or exchanged for money, and we do not refund them, including when you downgrade or cancel.
  • Availability. To keep AI voices available, we also set a monthly limit across all customers. If it is reached, AI voice clips pause for everyone until the next month or until we raise the limit; allowances are not extended or refunded for the pause. We may limit how often you can make clips and which voices are offered. Writing scripts with AI uses AI credits (section 9).

11. AI assistants and access tokens

You can connect AI assistants and other tools that support the Model Context Protocol (MCP), such as Claude, ChatGPT or Cursor, to one workspace, by approving the connection in AtriumKit or with a personal access token. A connected assistant can do what the permissions (“scopes”) you grant and your role in the workspace allow: read and edit demos and collections, publish demos and change who can see them, read guides and search knowledge kits, make voiceovers, and read analytics. Only with the leads permission can it read leads, viewers’ email addresses and the details in personalized links. Demo content it reads includes presenter notes. Plan limits, AI credits and AI voice allowances apply as they do in the dashboard.

  • The assistant acts for you. What a connected assistant does in your workspace is treated as done by you. Assistants can misunderstand instructions or follow instructions hidden in content they read, so grant only the permissions they need and check what they change in your demos’ version history.
  • Your provider, not ours. The company behind an assistant you connect is your provider, not ours. What the assistant reads from AtriumKit, such as demo content, screen images, analytics and leads, goes to that company under your agreement with it, and we are not responsible for how it handles that information.
  • Keep tokens secret. Treat access tokens like passwords: do not share them or put them where others can see them, and revoke them in Settings when you no longer need them or think one has been exposed. Creating a token requires your password, and we email you when a token is created or an app is connected. Workspace admins can see and revoke every token and connection in their workspace.
  • Limits and revocation. We limit how many requests a token or connection can make and how large they can be. Tokens and connections stop working when they expire or are revoked, when their member leaves the workspace, when the account’s password changes, or when the account is suspended or deleted. We may revoke them or suspend access to protect the Services, other customers or the people in your data, or when these Terms are broken.
  • Use MCP and access tokens only to work with your own workspaces, not to scrape the Services, get around plan or rate limits, or reach data you are not authorized to access. The tools and permissions we offer through MCP may change (section 17).

12. Personal information you put in AtriumKit

When Your Content or the leads, analytics and personalized-link details your demos collect include personal information, you are its controller (or “business”) and we process it on your behalf as your processor (or “service provider”). That includes information about your own customers that appears in pages you capture or files you upload, about the people you personalize demos for, and the voices in recordings you upload. We will:

  1. process it only to provide, secure and support the Services, as you direct through your use and settings (including the integrations and AI assistants you connect), or as the law requires;
  2. not sell it, share it for cross-context behavioral advertising, or use it for any other commercial purpose;
  3. not combine it with personal information we get from other sources, except as the law allows for service providers;
  4. not use it to train AI models;
  5. make sure the people we authorize to access it are bound by confidentiality obligations;
  6. use subprocessors only under written terms that protect it, list them in our Privacy Policy, and update that list before a new one starts processing it;
  7. meet the obligations privacy laws place on us as your processor or service provider, give it the level of protection they require, tell you if we can no longer meet them, and let you take reasonable steps to stop and remediate unauthorized use;
  8. help you respond to requests from the people it is about, and tell you without undue delay if we become aware of a security breach that affects it;
  9. delete it when you delete it, your demo or your workspace, as our Privacy Policy describes.

Integrations and AI assistants you connect are your service providers, not our subprocessors: information we send them at your direction is governed by your agreements with them. If you need a data processing agreement, email legal@atriumkit.com.

13. The Chrome extension

While these Terms are in effect, we give you a limited, non-exclusive, non-transferable, revocable license to install and use the AtriumKit Chrome extension to use the Services. It updates automatically through the Chrome Web Store, whose terms also apply to it. Except as the law or an open-source license that applies to a component permits, you may not copy, modify, decompile or reverse engineer the extension or the Services.

14. Acceptable use

Don’t use the Services to:

  • violate the law or anyone’s rights, including intellectual property, privacy and publicity rights;
  • capture or publish pages or information you are not allowed to, such as other people’s private accounts, paywalled content or confidential information you have no right to share;
  • publish content that is deceptive, defamatory, obscene, harassing, hateful or harmful;
  • impersonate another company, product or person, suggest an endorsement or affiliation that does not exist, or build demos or collection pages meant to collect passwords, payment details or other credentials;
  • collect or publish sensitive personal information (such as health, financial account or government ID information) without the right to do so, or put it in personalization values or personalized links;
  • send spam or unlawful marketing using leads you collect or personalized links;
  • create unlawful, deceptive or harmful content with AI features, AI voices or connected AI assistants, or use them against their providers’ usage policies;
  • imitate a real person’s voice, create a copy of anyone’s voice, or record or upload someone’s voice without their permission;
  • upload files you are not allowed to share with your workspace or with our AI providers;
  • distribute malware, or access accounts, workspaces, data or systems you are not authorized to access;
  • probe or test the security of the Services without our written permission;
  • interfere with or overload the Services, or get around plan limits, AI credit or AI voice limits, rate limits or security measures;
  • scrape the Services, including through MCP or access tokens, or use them to build a competing product;
  • resell, sublicense or provide the Services to others, except by sharing demos, guides and collections as the Services intend.

To report a demo, guide or collection page that breaks these rules, use the “Report” link on it, the form at app.atriumkit.com/report, or email legal@atriumkit.com. We may take such demos (with their guides) and collection pages down and suspend the accounts behind them (section 18). For copyright complaints, see section 22.

15. Our property and your feedback

The Services, including the software, player, design and the AtriumKit name and logo, belong to us and our licensors. These Terms do not give you any rights to them beyond the right to use the Services as described here. If you send us feedback or suggestions, we may use them for any purpose without obligation to you.

Open-source software. Parts of the Services, such as the audio encoder the dashboard uses for voiceovers, are open-source software that we provide under its own license. Those components and their licenses are listed on our third-party notices page. Their licenses govern those components, and nothing in these Terms limits your rights under them.

16. Third-party services

The Services work with services we do not control, such as Stripe, Google Chrome, the integrations you connect (such as Slack, Microsoft Teams, HubSpot, Salesforce, Zapier and webhooks), the AI assistants you connect, the websites you capture or import a brand kit from, the links you add to a knowledge kit, and the fonts you choose from Google Fonts. Their own terms and licenses govern your use of them, information you send them is under their control, and we are not responsible for them. A connection can stop working when one of those services changes.

17. Changes to the Services

We continually improve AtriumKit and may add, change or remove features, including what each plan includes, its limits, its AI credits and AI voice allowance, and the AI voices offered. Features marked beta, preview or coming soon may change or be withdrawn, and are provided as they are. If we remove a paid feature that a significant number of customers rely on, or materially reduce it, we will tell you at least 30 days in advance. If that change affects a billing period you have prepaid, you can email legal@atriumkit.com before it takes effect to end your subscription on that date, and we will refund the fees you prepaid for the full months left in your billing period.

18. Suspension and termination

  • You can stop using the Services at any time, and cancel a paid plan from Billing.
  • Deleting your account in the dashboard also deletes every workspace where you are the only member, with all its content, and cancels those workspaces’ subscriptions immediately, without a refund for the rest of the billing period. Deletion is permanent, so download your leads as a CSV file first. If you are the only admin of a workspace with other members, make someone else an admin first.
  • Deleting a workspace (admins, in the dashboard) deletes all of its demos, guides, collections, knowledge kits and files, narration, personalized links, version history, analytics and leads for every member, and cancels its subscription immediately, without a refund for the rest of the billing period.
  • Takedowns and suspensions. We may take down a demo or collection page, or suspend or terminate an account or workspace, if we reasonably believe it breaks these Terms (for example, after a report), if you do not pay, if the law requires it, or if it is needed to protect people or the Services. A demo or collection page that is taken down, including its guide page and narration, stops being available and cannot be republished until we restore it, and we show the reason in your dashboard. Suspending an account signs it out everywhere, stops its access tokens and AI assistant connections, and takes down the live demos and collection pages it created. Where reasonable, we will tell you first and give you a chance to fix the problem. If you think we made a mistake, email support@atriumkit.com.
  • When we close an account or workspace, its demos and collection pages stop being available and we delete its content as described in our Privacy Policy. Unless we closed it for a serious violation or the law prevents it, we will provide a copy of your content on reasonable request made within 30 days.
  • Amounts owed under section 3 remain payable, and sections 4, 12, 15, 19, 20, 21, 23 and 25 continue to apply after these Terms end.

19. Disclaimers

The Services are provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Services will be uninterrupted, secure or error-free, that they will meet your requirements, that auto-blur or any other feature will detect or hide all sensitive information, that HTML captures will look or behave exactly like the original page, that AI output, transcripts, captions or text extracted from files will be accurate, that AI voices will be available, or that integrations, connected AI assistants or personalized text will work as you expect.

20. Limitation of liability

To the fullest extent the law allows, neither we nor our members, officers, employees or suppliers will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill or data, arising out of or relating to these Terms or the Services, even if we were told they were possible.

Our total liability for all claims arising out of or relating to these Terms or the Services is limited to the greater of the amounts you paid us for the Services in the 12 months before the event giving rise to the claim, or $100.

These limits apply to every theory of liability, including contract, tort and negligence, and even if a remedy fails of its essential purpose. They do not limit liability for fraud, gross negligence, recklessness or intentional misconduct, or any other liability that cannot be limited by law.

21. Indemnity

You will defend, indemnify and hold harmless Simplisik LLC and its members, officers and employees from any third-party claim, and the resulting losses, damages, fines and reasonable costs (including attorneys’ fees), arising out of Your Content (including pages you capture, files and recordings you upload, and AI output and AI narration you publish), your demos, guides and collection pages, how you collect or use personal information through the Services (including leads, analytics and personalized links), what is done through your access tokens and the AI assistants you connect, your breach of these Terms or your violation of the law. We will tell you about the claim promptly, let you control its defense, and cooperate at your expense. You may not settle a claim in a way that admits fault for us or binds us without our written consent.

We respond to notices of claimed copyright infringement under the Digital Millennium Copyright Act, including about material that appears in a captured page in a demo. To report content in the Services, send our copyright agent a notice that includes:

  1. your physical or electronic signature;
  2. the copyrighted work you say is infringed (or, if one notice covers several works, a representative list of them);

If we remove your content after a notice, you may send a counter-notice as the Act provides. We terminate, in appropriate circumstances, the accounts of repeat infringers. For other concerns about a demo or collection page, such as a trademark or privacy complaint, use the report form in section 14.

23. Governing law and disputes

  • Governing law. These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Tennessee and applicable US federal law, without regard to conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
  • Talk to us first. Before filing a lawsuit, the party with the dispute will send the other a written description of it, and both will try in good faith to resolve it for 30 days. Deadlines to bring the claim, including statutes of limitation, are paused during those 30 days. This step does not apply to a request for an injunction described below. Our notice address is in section 26.
  • Where disputes are decided. Any lawsuit arising out of or relating to these Terms or the Services must be brought only in the state or federal courts located in Davidson County, Tennessee, and you and we consent to the personal jurisdiction of and venue in those courts. Either party may instead bring an individual claim in a small claims court (in Tennessee, a general sessions court) that has jurisdiction, as long as the claim stays in that court. Either party may also seek an injunction in any court with jurisdiction to protect its intellectual property or confidential information or to stop misuse of the Services.
  • Jury trial waiver. To the fullest extent the law allows, you and we each waive the right to a trial by jury in any lawsuit arising out of or relating to these Terms or the Services. You and we each make this waiver knowingly and voluntarily.
  • No class actions. To the fullest extent the law allows, you and we may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, consolidated or representative action. If a court finds this waiver unenforceable for a claim, that claim will be decided only in the courts named above, and the rest of this section, including the jury trial waiver, still applies.

24. Changes to these terms

We may update these Terms. We will post the new version here with a new “Last updated” date. If a change is material, we will tell account holders by email at least 30 days before it takes effect, unless it is needed sooner for legal or security reasons. Terms that cover only a new feature apply to that feature as soon as you use it, and we will point to them where the feature appears. If you do not agree to a material change, you can cancel before it takes effect. For a paid subscription, you can instead email legal@atriumkit.com before the change takes effect to end your subscription on that date, and we will refund the fees you prepaid for the full months left in your billing period. If you keep using the Services after a change takes effect, you accept the updated Terms. Changes to section 23 do not apply to a dispute that either party had already notified to the other. We keep earlier versions of these Terms and will send you a copy on request.

25. General

  • Entire agreement. These Terms, our Privacy Policy and any agreement we sign with you are the entire agreement between you and us about the Services.
  • Assignment. You may not transfer these Terms without our written consent. We may transfer them in connection with a merger, acquisition, reorganization or sale of assets.
  • Severability and waiver. If a court finds part of these Terms unenforceable, it will be enforced to the maximum extent permitted and the rest stays in effect. Not enforcing a provision is not a waiver of it.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, other than failures to pay.
  • Notices. We may send you notices by email to your account address or in the dashboard. You agree that electronic notices and agreements satisfy any requirement that they be in writing. Legal notices to us must be sent to legal@atriumkit.com, with a copy by mail to our postal address.
  • Export and sanctions. You will comply with US export control and sanctions laws, and you confirm that you are not located in, or acting for anyone in, a country or on a list subject to US sanctions.
  • Relationship. The parties are independent contractors. There are no third-party beneficiaries of these Terms, except that our members, officers, employees and suppliers may enforce section 20 and section 21.
  • Interpretation. Headings are for convenience only, and “including” means “including without limitation”.
